CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

As a C3 agent, you will possess and control certain business secrets and information having intellectual property and business value, therefore it is important to protect this information disclosed under the seal of confidentiality.

C3 client satisfaction inc. is the sole owner of all the information gathered under the functions performed by the C3 agents.

As a C3 agent, you will obtain « confidential information » from C3 client satisfaction inc. (as defined in article 7); that you will not be able to disclose or, publicize, verbally or in writing to a « third party » (as defined in article 5) and that you will not be able to use for your own benefit and interest, at the risk of not getting paid and even being prosecuted.

The « confidential information » cannot be copied or reproduced in any form, stocked in a system or data base or electronically released without written authorization of C3 client satisfaction inc.

Le term « third party » includes any individual, member, company, association, partnership, strategic alliance or other, existing today or tomorrow, directly or indirectly, that controls you or is being controlled by you without written authorisation of C3 client satisfaction inc. The clauses enumerated in this present agreement in relation with confidentiality and non-discloser will remain valid upon signing this electronic agreement, during and after the work contract, whatever happens.

LIMIT OF LIABILITY

The C3 agent obligations concerning confidentiality and non-disclosure will be active as long as C3 Client satisfaction inc. will not have issued written authorization.
